- Jurisdiction and Dispute Resolution
The Web Site is intended for users located in jurisdictions where our services may lawfully be provided. By accessing or using the Web Site from a location outside the United States or any jurisdiction where our services are not authorized or permitted, you do so at your own initiative and risk. You are solely responsible for compliance with all local laws, rules, and regulations that may apply to your use of the Web Site.
These Terms and Conditions shall be governed by, and construed in accordance with, the laws of the State of Wyoming, without regard to its conflict of law principles, and the applicable federal laws of the United States. You expressly agree that any dispute or claim arising out of or in connection with these Terms, the Web Site, or any aspect of your relationship with AECSN that is not resolved through informal negotiation shall be exclusively and finally resolved through binding arbitration as described below.
Mandatory Arbitration Clause
You agree that any and all disputes, claims, or controversies arising out of or relating to these Terms and Conditions, your use of the Web Site, or any services provided by AECSN (including the validity, enforceability, or scope of this arbitration clause), shall be resolved solely by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall take place in Cheyenne, Wyoming, unless otherwise agreed in writing by the parties.
The following shall apply to any arbitration proceeding:
- Arbitration shall be conducted before a single arbitrator with experience in commercial and technology matters.
- The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of these Terms and the arbitration provision.
- Discovery shall be limited to the exchange of relevant documents and materials unless the arbitrator determines that more extensive discovery is necessary.
- Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.
- Each party shall bear its own costs, attorneys’ fees, and expenses related to the arbitration, except as may be awarded by the arbitrator under applicable law or these Terms.
Waiver of Class Actions and Jury Trials
To the fullest extent permitted by law, you waive the right to bring or participate in any class action, consolidated, or representative action against AECSN, and you further waive your right to a jury trial. All disputes shall be resolved on an individual basis and not consolidated with any claim or controversy of any other party.
Equitable Relief
Notwithstanding the foregoing, AECSN reserves the right to seek injunctive or equitable relief in a court of competent jurisdiction (including emergency or preliminary relief) for breaches involving intellectual property rights, unauthorized access, or misuse of its systems or data, or any action that threatens or causes actual harm to the Web Site, its services, or AECSN’s business operations.
Exclusive Venue
To the extent any matter is permitted to be filed in a court rather than resolved through arbitration, you agree that the state and federal courts located in Laramie County, Wyoming, shall have exclusive jurisdiction and venue. You expressly waive any objection to such venue as inconvenient or improper.
Severability
If any provision of this Section 7 or the Terms and Conditions as a whole is held to be invalid, illegal, or unenforceable for any reason, such provision shall be severed and the remaining provisions shall remain in full force and effect.
